Frequently asked questions

What we are asked
most often.

It depends on your project, the number of shareholders, the capital available and your wealth objectives. The most common forms are the SARL (flexible, suited to SMEs), the SA (for larger projects or opening up the capital) and the SARL-S (reduced capital, to get started). We analyse your situation to steer you towards the most suitable structure, taking liability, taxation and governance into account.
Once the file is complete (articles, supporting documents, capital deposit), incorporation can be finalised in a few days to a few weeks, depending on the legal form and the availability of documents. Obtaining the business permit and opening the bank account can lengthen this. We support you at every step to avoid back-and-forth and to secure the timetable.
The minimum share capital is €12,000 for a SARL and €30,000 for an SA. The SARL-S allows you to start with capital between €1 and €12,000, subject to conditions. An important change since 2 June 2026: for SARLs and SARL-S, the capital must still be fully subscribed at incorporation, but its payment may now be deferred by up to twelve months. In practice, your company can be incorporated without an immediate capital payment or a bank account opened beforehand: real flexibility at launch. We help you determine the capital and payment terms suited to your project.
The business permit (autorisation d'établissement, often called the “business licence”) is issued by the Ministry of the Economy and is a prerequisite for most commercial, craft and professional activities in Luxembourg. Obtaining it requires evidence of the manager's professional qualification and good repute, and of the company's genuine presence in Luxembourg. We put together your file, gather the required documents and follow it through until the permit is granted.
Yes, it is one of our specialities. Thanks to our presence on both sides of the border, we support French and international entrepreneurs and executives setting up in Luxembourg: choosing between a subsidiary and a branch, structuring adapted to your home situation, filing obligations in the countries concerned, and the cross-border tax and social security interplay. You get a contact who understands cross-border issues and keeps you clear of blind spots.
Due diligence is an in-depth review carried out before an acquisition or an equity investment: it checks the accounting, tax, legal and employment health of the target company. The aim is to confirm that what you are buying matches reality, and to reveal any risks (hidden debts, disputes, irregularities) before you commit. It gives you the means to negotiate the price with full knowledge, and to secure the transaction with warranties. We carry out this analysis and report its conclusions to you in a clear, actionable way.
A valuation aims to determine the worth of a business using several complementary methods: the asset-based approach (what the company owns), the cash-flow approach (its ability to generate future results) and comparison with similar transactions. The choice of methods depends on the sector, size and context (sale, transfer, new shareholder). We conduct this analysis rigorously and give you a reasoned valuation range that serves as a solid basis for negotiating or deciding.
Our work does not stop at producing the accounts. Beyond regulatory obligations, we help you interpret your figures, anticipate your decisions and structure your projects: investment choices, tax trade-offs, the organisation of your company, preparing a growth or transfer transaction. We are a decision partner, available all year round, who puts expertise at the service of your strategy: not merely a firm that records the past, but an adviser who sheds light on the future.
